8.After attestation is out and inspector disembark with sample. Buyer will pay $1,000, 000 USD for logistics and documentations.

9.Buyer conducts dip -test and QnQ within 48 hours after boarding the pregnant vessel.

10.Buyer pays the seller with MT 103 wire swift transfer for entire cargo together with all agents less initial payment.

Dear Esteemed Buyer,

We have AGO (Automotive Gas Oil) available for call and load on Lagos waters, with quantities ranging from 10,000 MT to 80,000 MT.

Process:

*Buyer signs and returns with vessel details and an Authority to Load (ATL).

*Upon confirmation and verification of the buyer’s empty vessel, the seller will open communication to coordinate.

*The seller’s vessel will meet the buyer’s vessel at an agreed location for Ship-to-Ship (STS) transfer.

*The vessels will come and long-side each other, and the cargo will be inspected and confirmed by both captains.

*After product confirmation and attestation release by both captains, the buyer will pay a security deposit of ₦3 million.

*The seller will then pump 1,000 MT into the buyer’s vessel, followed by an attestation release from the captain.

*The buyer confirms the product and makes payment for the initial 1,000 MT.

*The seller will continue pumping the product as the buyer makes payments, until the total agreed quantity is fully discharged.

*Once the final payment is confirmed, the buyer’s vessel will be cleared to sail.

*TRANSACTION PROCEDURE (TANKER TAKEOVER - TTO LOME WATER)*

1. Buyer provides proof of funds (POF), to establish capacity .

2. Seller issues Sales and Purchase Agreement (SPA), with vessel details.

3. Buyer signs & returns the SPA along with an Authority to Board (ATB) request, including details of the inspector, supercargo, and shipping agent.

3. Seller releases five (5) key transaction documents to the Buyer. The Buyer confirms receipt.

4. Vessel arrives Lome, and Seller issues a Letter of Authorization (LOA) for the Buyer’s inspectors to board the vessel.

5. BUYER'S INSPECTION TEAM boards the vessel, conducts quantity & quality (Q & Q) verification, and signs an attestation with the vessel captain.

6. Buyer's Supercargo remains onboard, while the inspector collects samples and disembarks.

7. Buyer releases USD 2,000,000 into the Seller’s account for logistics and documentation.

8. BOTH PARTIES receive the final Q & Q test results.

9. BUYER makes the full payment via MT103, deducting the amount already paid for logistics.

INSPECTION & TITLE TRANSFER

The quantity and quality of the product shall be determined by a recognized surveyor/inspector appointed by the Buyer, who will conduct standard measuring, sampling, and testing procedures.

Title of the cargo shall pass to the Buyer immediately after final payment is received.

PROCEDURE FOR LOME & GHANA WATER.

1. Seller issues a Sales and Purchase agreement (SPA) to be accepted and counter signed by Buyer which will include their banking coordinates and exchange the signed copy by Electronic media. Buyer and Seller sign and seal the Contract including banking coordinates. The electronic signed copy by both parties is considered legally binding and enforceable.

2. Buyer returns signed copy of SPA with their NOR/ETA/MATB format, tug boat details, passport/telephone numbers of Inspection team and Shipping Agent information along with the CIS FILLED FORM & DATA PAGE of buyers account signatory.

3. Buyer provides logistics amounting to N50,000,000 CASH (FIVETY Million Naira) only after signing the Sales and Purchase Agreement for the following documents and buyer will be given 3 days to confirm the documents:
a) NNPCL contract Confirmation Letter,
b) NNPCL commitment to supply products letter,
c) NNPCL Authority To Sell (ATS),
d) Certificate Of Origin,
e) Bill Of Lading,
f) Certificate Of Quality,
g) Tanker Ullage Report,
h) Cargo Manifest,
i) Certificate Of Quantity,
j) Crew list,
k) Last Ten Port Calls,
l) Ship arrival declaration form
m) Health declaration form
n) Vessel Q88,

4. a) Upon confirmation of logistics payment, loaded vessel captain issues Notice of Readiness/Expected Time of Arrival (NOR/ETA) from vessel captain email after receiving bunker,
b) Upon arrival at Tema, vessel captain will issue arrival declaration message,
c) Vessels captain sends e-booking form to buyer, and positions vessel at 12NM for boarding activities,
d) Vessels captain makes gazetted announcement to harbour master on behalf of buyer and shipping agency,
e) Sellers vessel issues Marine ATB for buyers supercargo and inspectors to embark the loaded vessel for confirmation and Q&Q activities.

5. NNPC Ltd., Bonny Terminal issues security clearance for the inspection team to embark sellers vessel in line with buyers format. Buyers inspection team embarks sellers vessel for sampling and confirmations.

6. Buyer's inspection team board the vessel at 12NM with BUYER'S tug boat. Buyer Supercargo signs attestation certificate and the vessel captain onboard counter signs the attestation. While the inspector conduct quantity test analysis and collect BLCO product sample and disembark for laboratory quality test results, which should be issue by the Buyers independent inspection company to all email address provided. The supercargo will remain onboard.

7. Upon receipt and confirmation of inspection report, Buyer instructs their bank to issue Standby Letter of Credit (SBLC) within 72 hours in conformity with the Q&Q report to sellers nominated bank according to the verbiage in Appendix A. Buyer advance the swift copy by email to seller for confirmation.
7 (i). Alternatively, buyer shall make available the sum of $1,000,000.00 (One Million USD Dollars) only into sellers nominated account for documentation, re-assignment and general logistics for Take Over.

8. Upon confirmation of buyers payment instrument or logistics, by sellers nominated bank, Seller documents the cargo in buyers name hands over cargo document to buyer for final payment and complete take-over of vessel and cargo and introduce buyer to vessel handlers for a recharter.

9. Buyer pre-chartters the loaded vessel and takes over control of vessel and instructs his captain forthwith.

10. Before the vessel commence voyage to buyers final Port of Destination from Ghana waters, buyers bank shall effect final payment LESS ALL LOGISTICS PAID via MT103 Wire Transfer based on commercial invoice including commissions within 48 hours before sailing order.

11. NNPCL-JVO/Seller confirms MT103 payment, and Buyer proceed to place a pre-charter or full charter on the vessel and sail off to POD.

12. Seller hands over to buyer ALL original cargo documents including Title of Warranty/Certificate of Ownership.

13. The initial shipment delivery to Ghana waters is satisfactory and completed.
