DISTRIBUTION AGREEMENT
Dear Kaycee Okoma,
Further to our recent discussions, we are pleased to confirm your appointment as an authorised Glasdon Distributor.
The aim of this document is to provide simple guidelines to the terms of this Distribution
Agreement. Should you have any further questions then please contact us immediately.
We look forward to a long-term and rewarding collaboration.
1. Territory
The territory is defined as the Sierra Leone and the Republic of Guinea.
Within the Territory or any other territories, Kaycee Okoma may not register, or allow to be registered, Glasdon's trademarks, trading names or brand names or any such that may be mistaken for these.
2. Market Sectors
Glasdon International Limited authorise Kaycee Okoma to supply all market sectors within the Territory. Glasdon products are typically bought by any organisation, including municipalities, educational establishments, hospitals, retailers, leisure facilities, hotels, manufacturers and transport operators.
3. Products and ‘Sole Distribution’ Rights
Glasdon International Limited grants Kaycee Okoma the ‘Sole Distribution Rights’ to sell and distribute the products marketed and manufactured by Glasdon International Limited and its associate companies and brands. ‘Sole Distribution Rights’ are assigned in the Territory of Sierra Leone and the Republic of Guinea. Glasdon International Limited reserves the right to supply its products directly to customers in the Territory when, for example, it has existing global agreements with multi-national corporations.
4. Marketing/Sales Promotion
Glasdon International Limited will initially supply Kaycee Okoma with an appropriate level of product sales leaflets at no cost. Glasdon International Limited will provide Kaycee Okoma with sales enquiries received from the above Territory from its comprehensive world-wide mailing and web advertising programmes. Kaycee Okoma will be responsible for the sales promotion campaigns, advertising, marketing and merchandising efforts necessary to generate the sale of Glasdon products in the Territory.
5. Demonstration Products
Glasdon products usually represent superior quality and offer greater benefits than others in the market. Higher material and development costs often result in selling prices that are above those of our competitors. Our extensive experience has proved that product samples are necessary to demonstrate their superior features. All of our distributors are therefore expected to invest in a small number of appropriate products.
6. Pricing
Glasdon International’s pricing policy is deliberately simple. We do not charge for
distribution rights and we do not insist on a minimum order level for any standard item. Our single distributor price list represents our lowest possible price for medium to high volume purchases. Distributor prices normally represent a minimum discount of 20% from our domestic UK selling prices. We offer a 20% discount from our distributor price list for all purchases of product samples. Many of our distributors have been selling Glasdon products for 25+ years and we are therefore confident that this pricing policy is acceptable and viable for sustainable and profitable business for both parties. Prices are reviewed annually on lst January and increases are avoided unless absolutely necessary.
7. Payment Terms
Advance payments will be made against a proforma invoice prior to the dispatch of all
goods, i.e. cash in full with purchase order.
8. Transportation
If required, Glasdon International Limited can arrange for the transportation of goods to
Sierra Leone and the Republic of Guinea and we are able to offer any transport terms that Kaycee Okoma requires for their air-freight and sea container consignments. We tender for each and every consignment to ensure competitive pricing.
9. Technical Support
Glasdon International Limited has an experienced team of technical experts on hand to deal with any pre or post-sales technical issues. Furthermore, our ISO 9001 approved quality assurance team is able to advice on any quality issues.
By prior arrangement, Glasdon International Limited will provide sales and product training at our Head Office in Blackpool, UK, to representative Kaycee Okoma.
10. Communication
On a day-to-day basis, Natasha Clough will be your primary office contact at Glasdon

11. Termination
Either party reserves the right to terminate this agreement, subject to 60 days notice and without penalty.
12. Conclusion
We trust that these simple guidelines help to establish an effective and successful
arrangement between Kaycee Okoma and Glasdon International Limited.
This exclusive Distribution Agreement will be valid for a 6-month period, after which it will be subject to review.
Please sign both copies of this document to acknowledge your agreement to the terms,
returning one copy to us and retaining the other copy for your records.
